Terms of Service

These Terms of Service ("Terms") govern your access to and use of TaskLoco ("the Service"), which is owned and operated by Specusoft LLC ("we," "us," "our"). By accessing or using the Service, you agree to these Terms.

We believe in plain language. There is no fine print here. Everything material is stated clearly and prominently.

TaskLoco and all related intellectual property, branding, software, and infrastructure are the property of Specusoft LLC. You retain ownership of the content you create or upload. You grant us a limited license to store, process, and display your content solely for the purpose of operating the Service.

1. TaskLoco Lite — Free Tier

TaskLoco Lite ("Lite") is a free tier of the Service available to all users at no cost, with no credit card required and no expiration.

a. No Sale or Misuse of Your Data

We will not sell, rent, trade, or otherwise monetize your personal information or task data to third parties. We do not use your data for advertising purposes.

b. How Lite Data Is Stored

All Lite data is stored locally in your browser's localStorage on your device. We do not store your data on our servers by default.

Lite includes an optional, user-initiated cloud backup feature. When you explicitly tap the backup button, a copy of your data is uploaded to AWS S3. This backup occurs only when you affirmatively trigger it.

You are solely responsible for the safety and preservation of your Lite data. We are not responsible for data loss resulting from clearing your browser cache, using incognito mode, browser updates, device loss, or failure to use the optional cloud backup feature.

c. Lite Is Provided "As-Is"

TaskLoco Lite is provided "as is" and "as available" without any warranty. We may modify, limit, or discontinue Lite features at any time without notice.

d. Your Right to Export Your Data

Your stickies and task data belong to you. Both Lite and Premium users may export their data at any time in JSON or CSV format. We will never charge you to access or export your own data.

e. Feature Limitations

Lite includes up to 20 tasks and stickies, tags, smart filtering, calendar view, and access to TaskLoco University. Features such as reminders, push notifications, file attachments, and public task sharing require a Premium subscription.

2. TaskLoco Premium — Paid Subscription

a. Billing

Premium is billed monthly at the rate in effect at the time of your subscription. Charter members receive a permanent 50% discount off the standard rate for the life of their subscription. Your credit card is charged automatically on your billing date. All payments are processed by Stripe — we never store your card information.

b. Free Trial

New subscribers receive a 7-day free trial. A credit card is required to start. If you cancel before day 8, you are never charged. After the trial, your card is charged automatically at the applicable monthly rate.

c. Cancellation

You may cancel your subscription at any time from User Settings. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial billing periods, except where required by law.

d. Storage

Premium includes 10 GB of encrypted file storage on AWS S3. Additional storage is available at $0.50/GB/month. If you exceed your storage quota, uploads will be blocked until you delete files or purchase additional storage. We will warn you when you reach 90% of your quota.

3. Financial and Transactional Records — Permanent Retention

This is not fine print. We are telling you clearly: We permanently retain financial and transactional records associated with your account, even after you delete your account. This includes:

  • All subscription events (creation, upgrades, cancellations, renewals)
  • All payment attempts — successful and failed
  • Refunds, disputes, and chargebacks
  • Trial start and end dates
  • All billing status changes received from Stripe

These records are retained permanently to comply with financial regulations and tax law, defend against fraudulent chargeback claims, resolve billing disputes, and maintain accurate business records as required by applicable law.

These records contain your email address, subscription history, payment amounts, and Stripe event data. They do not contain your task content, notes, or file attachments. They are never shared with third parties except as required by law.

4. Your Account

You are responsible for maintaining the confidentiality of your login credentials and all activity that occurs under your account. We are not responsible for unauthorized access resulting from your failure to secure your account.

5. Acceptable Use

You agree not to:

  • Attempt unauthorized access to the Service or its infrastructure
  • Upload malicious code or harmful content
  • Use the Service for unlawful or abusive purposes
  • Interfere with or disrupt the Service

We may suspend or terminate accounts that violate these rules.

6. Service Availability

We strive to provide a reliable, high-quality service but do not guarantee uninterrupted or error-free operation. The Service may be modified, suspended, or discontinued at any time. TaskLoco relies on third-party providers including AWS. Outages in these systems may affect availability.

7. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law.

8. Limitation of Liability

To the maximum extent permitted by law:

  • Specusoft LLC is not liable for indirect, incidental, consequential, special, or punitive damages.
  • We are not responsible for data loss, corruption, or outages caused by third-party providers including AWS.
  • Your sole remedy for dissatisfaction with the Service is to stop using it.

9. Indemnification

You agree to indemnify and hold Specusoft LLC harmless from claims arising from your use of the Service, your content, or your violation of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

11. Termination and Account Deletion

We may suspend or terminate your access for violations of these Terms, security concerns, legal requirements, or extended inactivity. You may delete your account at any time from User Settings.

When you delete your account:

  • Your tasks, notes, and file attachments are deleted immediately from our live systems
  • Your account record is removed immediately
  • Your financial and transactional records are retained permanently (see Section 3)
  • Residual copies in automated AWS backups are fully purged within 10 days

We maintain a permanent deletion record that prevents any backed-up data from ever being restored to our live systems after you delete your account.

12. Changes to These Terms

We may update these Terms as the Service evolves. Continued use after changes are posted constitutes acceptance of the updated Terms. Material changes will be communicated through the platform or via email.
